1. Scope
These terms govern use of the UpSalt website and platform supplied by UpSalt SAS, SIREN 994 024 362. A signed order form, subscription agreement or other written commercial agreement may contain additional terms and takes precedence where it conflicts with these website terms.
2. Accounts and acceptable use
Users must provide accurate information, protect their credentials and promptly report suspected unauthorised access. You may not misuse the service, attempt to bypass security, interfere with availability, upload unlawful content, infringe third-party rights, reverse engineer protected parts of the platform or use it to send unlawful communications.
3. Subscription, trial and payment
Plan, price, billing period, included features and any trial are those shown at purchase or in the applicable order. Prices exclude VAT unless stated otherwise. Paid subscriptions renew for the agreed period until cancelled according to the order or subscription settings. Venue operators remain responsible for their own guest-facing prices, deposits, refunds, cancellation policies and taxes.
4. Customer data
The customer retains its rights in data submitted to UpSalt and authorises UpSalt to process that data only to provide, protect and improve the contracted service and meet legal obligations. Customers are responsible for having an appropriate legal basis, presenting required notices and responding to their guests.
5. Intellectual property
UpSalt and its licensors retain all rights in the platform, website, branding, software and documentation. A valid subscription provides a limited, non-exclusive, non-transferable right to use the service for the customer’s internal business operations during the subscription term.
6. Availability and liability
We work to provide a reliable service but do not promise uninterrupted or error-free availability. To the extent permitted by law, neither party is liable for indirect or consequential loss. Any negotiated service levels, warranties, liability limits and indemnities are stated in the applicable commercial agreement. Nothing excludes liability that cannot legally be excluded.
7. Suspension, termination and governing law
Access may be suspended where reasonably necessary for security, non-payment or material breach. On termination, access ends subject to agreed export and retention arrangements. These terms are governed by French law; competent courts are determined under applicable law and any signed agreement.
